CenterPoint Energy and Vectren to Merge
Advances strategy to become a leading U.S. energy delivery, infrastructure and services company

HOUSTON and EVANSVILLE, Ind., April 23, 2018 - CenterPoint Energy, Inc. (NYSE: CNP) and Vectren Corporation (NYSE: VVC) today announced they have entered into a definitive merger agreement to form a leading energy delivery, infrastructure and services company serving more than 7 million customers across the United States. 

Under the terms of the agreement, which have been unanimously approved by both CenterPoint Energy's and Vectren's Boards of Directors, Vectren shareholders will receive $72.00 in cash for each share of Vectren common stock. CenterPoint Energy will also assume all outstanding Vectren net debt.

The Combined Company

The combined company is expected to have electric and natural gas delivery operations in eight states with assets totaling $29 billion and an enterprise value of $27 billion.

Headquartered in Houston, CenterPoint Energy has significant natural gas operations in Arkansas, Louisiana, Minnesota, Mississippi, Oklahoma and Texas, serving more than 3.4 million customers. The company also delivers electricity to more than 2.4 million customers in the greater Houston area. CenterPoint Energy's competitive natural gas sales and services business serves more than 100,000 customers in 33 states. The company employs nearly 8,000.

Headquartered in Evansville, Ind., Vectren provides natural gas to more than 1 million customers in Indiana and Ohio, and electricity to 145,000 customers in Indiana. Vectren's non-utility businesses include Infrastructure Services (VISCO), which provides underground pipeline construction, repair and replacement services, and Energy Services (VESCO), which offers performance contracting services and renewable energy project development. CenterPoint Energy intends to continue operating VISCO out of Indianapolis, Ind., and VESCO out of Newburgh, Ind. (near Evansville). Vectren also owns and operates power generation assets in Indiana with a production capacity of 1,248 megawatts. The company employs approximately 5,500.

Following the completion of the merger, the combined company expects to execute a unified business strategy focused on the safe and reliable delivery of electricity, natural gas and related services to customers.

Earnings Impact

With the merger, CenterPoint Energy expects to maintain an annual guidance basis EPS growth target of 5 to 7 percent in 2019 and 2020, excluding any one-time charges related to the merger.

Leadership

At the closing of the transaction, Scott M. Prochazka will serve as president and CEO of the combined company. The full executive team for the combined company will be announced prior to or in conjunction with the closing of the merger. The natural gas utilities operations of the combined company, as well as that businesses' lead executive, will be headquartered in Evansville. Additionally, CenterPoint Energy will establish a chief business officer for Vectren's electric business who will directly report to CenterPoint Energy's CEO and spearhead southwestern Indiana's electric grid modernization and generation transition initiatives recently underway. In addition to utility field employees, CenterPoint Energy will retain key operational activities in support of the utilities in Evansville.

Integration teams co-led by leaders from each company are in the process of being established and will be centered in Evansville. These teams will be responsible for identifying best practices and facilitating the integration of the two companies.

Pursuant to the merger agreement, CenterPoint Energy will contribute an additional $3 million per year for a minimum of five years after the closing of the merger to the Vectren Foundation, which will continue to operate out of Evansville. The Vectren Foundation supports education, environmental conservation and environmental stewardship, as well as community revitalization and sustainability across Vectren's service territory. These areas are consistent with CenterPoint Energy's strategic giving across its service territories.

Terms and Conditions

The closing of the transaction is subject to Vectren shareholder approval, approvals from the Federal Energy Regulatory Commission and Federal Communications Commission, and expiration or termination of the Hart-Scott-Rodino waiting period. In addition to these conditions, the company will make certain regulatory filings in Indiana and Ohio.

Subject to these conditions, the merger is expected to close by the first quarter 2019. Until the closing, CenterPoint Energy and Vectren will remain separate companies.

HOUSTON, March 15, 2025 - CenterPoint Energy is taking a series of precautionary actions to help protect customers and communities and address elevated wildfire risk in parts of the Greater Houston area, as the National Weather Service has issued a Red Flag Warning from noon until 9 p.m. today. CenterPoint has actively prepared for potentially dangerous weather conditions, including high wind gusts, dry fuels and low humidity, by conducting pre-inspections of electric and natural gas equipment, adjusting power line safety settings in higher-risk areas, communicating with customers and working closely with local emergency agencies. Today, CenterPoint has approximately 1,000 line and vegetation workers prepared to respond to the evolving weather conditions.

Over the last day, CenterPoint has notified customers in the Cypress, Fort Bend and Katy areas through the company's Power Alert Service about the possibility that extreme weather and wind conditions could result in some temporary safety outages this afternoon or tonight.

"While we have had some precipitation with the passing front this morning, we must remain vigilant. As fire weather conditions quickly evolved and escalated across the state, CenterPoint has been actively preparing for potential impacts to the system and is ready to respond to the heightened risk today. Over the last several days, our teams have completed a series of actions to help protect our customers and communities, including inspecting critical equipment, clearing hazardous vegetation near power lines, adjusting safety settings in higher-risk areas and pre-positioning crews to quickly restore power if temporary safety outages occur. Key Actions to Help Keep Customers Safe
CenterPoint's safety preparations over the last several days include the following key actions:

  • Inspecting and Hardening Key Power Lines: Inspecting power lines in areas of heightened fire risk, clearing hazardous vegetation near power lines and conducting repairs where needed, ahead of potential extreme weather.
  • Inspecting Natural Gas Facilities: Inspecting gas facilities in areas of heightened fire risk and clearing hazardous vegetation near facilities ahead of potential extreme weather.
  • Adjusting Safety Settings: Adjusting the settings on some power lines for safety between noon and 9 p.m. today.
  • Bringing on Additional Crews to Respond: Positioning CenterPoint crews and additional contractors to respond to any power outages or natural gas service interruptions that may occur. Additional resources will be utilized to safely restore service as quickly as possible when conditions allow.
  • Coordinating with Local Emergency Partners: Proactively sharing information with state, county and local leaders.
  • Communicating with Customers: Proactively communicating with approximately 330,000 customers in the Cypress, Fort Bend and Katy areas by phone, text or email about the potential for temporary safety outages due to high fire danger.

CenterPoint Energy assessing damage, restoring power following overnight storms in southwestern Indiana

​​Evansville, Ind. – March 15, 2025 – CenterPoint Energy crews are actively assessing damage and making repairs to its electric system after severe storms moved through southwestern Indiana overnight. The company's natural gas system did not experience any major impacts. The storm system brought wind gusts up to 60 mph, with higher gusts reported in some areas, resulting in impacts across the company's electric system. As of 2:30 p.m., approximately 1,600 customers remain without power.

CenterPoint's restoration efforts underway
Damage assessments remain ongoing, and crews are focused on downed power lines, damaged poles and other storm-related impacts to the company's electric system.

According to the National Weather Service, more rain and scattered thunderstorms are expected Saturday. Due to these weather events, the outage count is likely to continue to change throughout the day. Additionally, outage numbers may shift as crews isolate sections of the system for repairs or identify new issues requiring additional work.

“Crews are making steady progress, and we appreciate our customers' patience as we work through the remaining outages," said Shane Bradford, CenterPoint's Vice President, Indiana Electric. “As weather continues to move through the area, restoration may be delayed as crews pause until safe to continue working, however, we remain focused on safely restoring power to every impacted customer as quickly as possible."

As restoration progresses and weather conditions improve, efforts will transition from large-scale outages affecting multiple customers to localized outages affecting smaller numbers of customers. Some of these repairs require extensive work, such as replacing broken poles or restoring service to individual customers who have damage to customer-owned electrical equipment.

What customers need to know about power restoration and repairs
When restoring power after service interruptions, CenterPoint follows a prioritization process that begins with critical infrastructure, followed by repairs that restore service to the greatest number of customers before addressing individual outages.

Additionally, some customers may experience delays if repairs are needed at their home or business. One common issue after storms is damage to a weatherhead—the point where power enters a home—which is customer-owned equipment. If a weatherhead is damaged, customers must have a licensed electrician make necessary repairs before CenterPoint can restore service. After repairs are completed, customers should call 800-227-1376 to request reconnection.

Safety tips
CenterPoint encourages customers to take steps to prepare for severe weather:

  • Downed power line safety: Stay at least 35 feet away from downed power lines and report them by calling 800-227-1376.
  • Work crew safety: Be cautious around work crews and give them plenty of room to safely assess damage and make repairs.
  • Generator safety: Never connect a portable electric generator directly to a building's electrical system during a power outage; electricity could back-feed into the power lines, potentially endangering CenterPoint workers. Only use a portable generator in a well-ventilated area and never run it inside or in a garage to avoid carbon monoxide fumes, which can be deadly.
  • Call before digging: Call 811 to locate utility lines prior to digging on a property.

HOUSTON, March 14, 2025 - CenterPoint Energy continues to closely monitor evolving weather conditions and is taking precautionary measures to mitigate wildfire risk as the National Weather Service issued a Fire Weather Watch for large portions of Texas including in the Greater Houston area on Saturday from noon to 9 p.m. Due to the potentially dangerous weather conditions, including high wind gusts, dry fuels and low humidity, CenterPoint is actively preparing its response, including conducting pre-inspections, adjusting power line safety settings, communicating with customers, and working closely with local emergency agencies. As part of its customer outreach, CenterPoint will be notifying customers via its Power Alert Service in the Cypress, Fort Bend and Katy areas of the possibility that extreme weather and wind conditions could result in some temporary safety outages during part of the day on Saturday.

CenterPoint Energy continues its resiliency efforts across the 12-county region through its Foundation’s Community Generator Donation Program; Donates two backup generators to key facilities in Fort Bend County

​​Houston – March 14, 2025 – Today, at an announcement in Missouri City, Texas with elected officials and community leaders, CenterPoint Energy leaders announced the donation of two backup generators at key locations in Fort Bend County as part of its Community Generator Donation Program to support local community resiliency. Through this program, the CenterPoint Energy Foundation is donating funds for 21 backup generators at key locations throughout its 12-county Greater Houston region. It is expected that there will be at least one generator or other support for each county.

The generators will be installed at the Landmark Community Center and the Pecan Grove Sports Complex The company is working in close collaboration with local Offices of Emergency Management (OEMs) and other county and city leaders to identify the appropriate locations for the donated generators to be able to have the greatest impact and local benefit.

The Community Generator Donation Program is part of CenterPoint's Greater Houston Resiliency Initiative (GHRI). The backup generators will help provide support for critical community partners during major weather events or other emergencies and are funded through a $5 million grant from the CenterPoint Energy Foundation at no cost to customers. The CenterPoint Energy Foundation is a charitable giving organization focused on strengthening the quality of life in the communities served by the company. These backup generators will provide an additional power supply during major storms and other emergency events that cause outages. Facilities that receive the donated backup generators will be able to better serve their communities during outages, acting as hubs for essential services like medical care, cooling stations, water and food distribution, charging stations for critical devices and other services.

Working with Community Partners on Locations
To support local community needs, CenterPoint is working closely with county and city officials and OEMs to identify and select the ideal locations for the donated generators, with local officials ultimately deciding which critical facilities will receive the donations.

Over the next several months, CenterPoint will be coordinating with local community partners to ensure the backup generators are suitable to meet the specific needs of the critical facility they have identified. The goal is to have all generators installed and operational by June 1, 2025, to further resiliency ahead of the 2025 hurricane season.

CenterPoint is working with other county OEMs, and county and city leaders across the Greater Houston region to make similar announcements in the coming weeks and months.

CenterPoint Energy teams remain on alert, continue storm monitoring and preparation for potential severe weather threat for southwestern Indiana

Evansville, Ind. – March 14, 2025 – CenterPoint Energy remains focused on preparedness as severe weather is forecasted to impact southwestern Indiana later this evening. According to the latest updates from the National Weather Service, strong wind gusts of up to 40 to 50 mph are expected this afternoon and this evening, with higher gusts possible. A line of severe thunderstorms is expected to develop later tonight, bringing the potential for damaging winds, large hail and the possibility of an isolated tornado. Additional storms could develop on Saturday with the potential for heavy rainfall in some areas.  

CenterPoint's continued storm preparation efforts
With the potential for severe weather in the forecast, CenterPoint is continuing to take proactive steps to prepare for possible impacts:

  • Activating additional frontline electric crews: Readied additional local full-time and contract frontline workers to help with the storm response.
  • Pre-staging additional material and equipment: Operations team has prepared additional inventory for deployment in the event of damage to poles and other equipment.
  • Sharing customer communications: Sharing safety and preparedness actions with CenterPoint customers across social media and other platforms to help keep customers informed and prepared.
  • Preparing to conduct patrols and assess damage: Once storms exit the area and it's safe to do so, CenterPoint crews will be deployed across its service territory to assess damage.
